Terms of Sevice

 

Welcome to the Samudra Online School of Living Yoga website (the "Service". The Service is owned and provided by Shiva Rea. These Terms of Use ("Terms"), including those in the Privacy Policy, which is incorporated by reference, apply to your use of the Service.

 

If you wish to use the Service, you must agree to these Terms. If you do not agree to the Terms, or lack the capacity to agree to these Terms, then your use of the Service is unauthorized, and you may not use the Service. We may change these terms at any time without notice. By your continued use of the Service, you represent that you have the capacity to assent to these Terms and do assent to the Terms then in effect.

 

Site Registration. All users of the Service must meet and abide by the following are requirements in order to register.

 

You must provide your legal full name, valid email address, and other information requested in order to complete the signup process for Samudra registration. You are responsible for maintain in the security of your account and password. Samudra will not be liable for any loss or damage from your failure to do so.

 

The Service is intended for use only by adults. [If a child is under the age of 13, a parent or legal guardian MUST sign up for an account under the parent's name before the child may use the Service. Children under the age of 13 may not send personal information to the Service without proper parental consent.]

 

Samudra Intellectual Property. All content of this site is the property of Samudra and is protected by copyright laws. Samudra is a trademarks of Shiva Rea.

 

Please respect all materials, intellectual property, workshop titles (e.g. Fluid Creative Core, Pathways of Flow), content, and prana flow® sequences as copyrighted material that is transmitted to you for your highest benefit. Please giving credit during practice of prana flow® material and ask permission for anything beyond self- practice and public class teaching use.

 

Your password is for you only and not to be shared. Anything unique that you learn should be honored by its name and where you learn it such as the Prana Flow Namaskars (Dancing Warrior, Agni Namaskar etc) and unique Prana Flow asanas (e.g. parsva ajenyasana, radhakrishnasana). Circulate this in your practice so that it is fully integrated. Teacher training is the best place for deeper integration and transmission to teach what is learned through this online practice portal. We bow to your integrity.

 

Restrictions on Use. You are responsible for all activity that occurs on your account.

 

Samudra may remove and/or disable an account whose use is unlawful, harmful, threatening, damaging or otherwise of concern in any way, in our sole discretion. Examples include, but are not limited to, any User Generated Content or uses that:

 

Are illegal or unauthorized, or promote illegal or unauthorized activity. Modify or hack the Service.

 

Copy, distribute, retransmit, publish or broadcast any part of the Service beyond the scope of the license granted in these Terms.

 

Are offensive, harmful, threatening, advocating violence, hateful, harassing, defamatory, invasive of the privacy of another, obscene or abusive.

 

Include any third-party sensitive or confidential information, or violate a contract with or duty to any third party.

 

Infringe any intellectual property right or publicity right. Are false, deceptive or misleading.

 

Impersonate any person or entity or misrepresent an affiliation with any person or entity.

 

Contain or transmit any worm, virus or other code, program or routine that damages, interferes with, intercepts or expropriates any system, data or information.

 

Attempt to reverse engineer or derive source code from any part of the Service.

 

Contain bulk email, unsolicited commercial email, political campaigns, SMS, spam messages, chain letters, or pyramid schemes.

 

Harvest or collect email addresses or other contact information for any unauthorized purpose, including the sending of unsolicited communications. Use automated scripts to interact with the Service.

 

Cause an abnormal increase in bandwidth consumption.

 

Links. The Service may include links to third-party websites. These links are provided only as a convenience. Samudra is not responsible for the availability of these outside sites or for their contents. You should direct any concerns regarding a third-party site to the applicable site administrator.

 

Modification, Termination. Samudra may refuse to provide the Service to anyone for any reason at any time. Samudra may suspend or terminate your account for any reason at any time. If your account is terminated, it will be deactivated or deleted, or your access will be disabled, and your User Generated Content will be deleted from the Service. Samudra may modify or discontinue the Service (or any part thereof) at any time with or without notice. Samudra will not be liable to anyone for any modification, price change, suspension, downgrading or discontinuation of the Service, or any resulting loss of content.

 

Disclaimers and Limitations. THE SERVICE IS PROVIDED AS IS, NO WARRANTIES. YOU USE THE SERVICE AT YOUR OWN SOLE RISK. SAMUDRA PROVIDES THE SERVICE ON AN "AS IS" AND "AS AVAILABLE" BASIS. SAMUDRA DISCLAIMS ALL Express AND implied warrantIES REGARDING THE SERVICE, including without limitation all implied warranties of merchantability, fitness for a particular purpose, ACCURACY, title and non-infringement. Without limiting the foregoing, Samudra does not warrant that (i) the Service will meet your specific requirements, (ii) the Service will be uninterrupted, timely, secure, or error-free, (iii) the results obtained from the use of the Service will be accurate or reliable, (iv) the quality of any products, services, information, or other material purchased or obtained by you through the Service will meet your expectations, or (v) any errors in the Service will be corrected.

 

Limitation of Liability. Samudra will not be liable to you or anyone for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to damages for lost profits, goodwill, use, data or other intangible losses (regardless of whether Samudra has been advised of the possibility of such damages), however caused, whether based upon contract, negligence, strict liability in tort, warranty or any other legal theory, arising out of or related to: (i) the use or the inability to use the Service; (ii) the cost of procurement of substitute goods or services resulting from any goods, data, information or services obtained, messages received or transactions entered into through or from the Service; (iii) unauthorized access to or alteration of your transmissions, data or User Generated Content; (iv) statements or conduct of any third party on the Service; (v) termination or downgrading of your account; or (vi) any other matter relating to the Service. Samudra's maximum cumulative liability and your exclusive remedy for any claim arising out of or relating to the Terms or the Service will be limited to the amount you actually paid for the Service in the 12 months before the assertion of the claim. Because some states and jurisdictions do not allow certain exclusions or limitations of liability, the above limitations may not apply to you.

 

Copyright Notice and Takedown. It is Samudra's policy to terminate accounts that repeatedly upload or post infringing content on the Service. If you are a copyright owner and you believe your work has been copied and used improperly on the Service, please contact our copyright compliance officer. Indemnification. You will indemnify, defend and hold harmless Samudra and its subsidiaries, affiliates, officers, agents, and employees from and against any third party claim arising from or in any way related to your use of the Service, including any liability or expense arising from all claims, losses, damages (actual and consequential), suits, judgments, litigation costs and attorneys' fees, of every kind and nature. In such a case, Samudra will provide you with written notice of such claim, suit or action.

 

Entire Agreement. These Terms constitute the entire agreement and understanding between the parties and supersedes all prior communications, representations, understandings, negotiations and discussions, written or oral, between the parties regarding the subject of this Agreement.

 

Severability. If any provision in this agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.

 

Governing Law. This Site is controlled by Samudra from its offices within the State of California. This Agreement, your rights and obligations, and all actions contemplated by this Agreement will be governed by and construed in accordance with the laws of the State of California and applicable federal law, without giving effect to any principles of conflicts of law. By accessing the Site, you agree that, in the case of a dispute, both Samudra and you will submit to the exclusive personal jurisdiction of and venue in the Circuit Court of Los Angeles County and the United States Court for California.
